Art. 19 The General Assembly / General Assembly of Representatives is the supreme body of the Chamber and is composed of all members.
The General Assembly of the Chamber is open to all members of the Chamber.
Art. 20 (1) The ordinary General Assembly/General Meeting of Representatives shall be convened at least 15 calendar days before the date set for the meeting.
(2) An extraordinary General Assembly of Representatives shall be convened at the request of the President or at the request of at least 1/3 of the members with voting rights, or at the request of the Management Board (by 2/3 of the members) or of the Committee of Auditors, at least 5 calendar days before the date set for the meeting.
(3) The convocation shall be made by letter, fax, e-mail and shall include the place, date, time and agenda.
(4) If the General Assembly discusses the approval or amendment of the statutes, the draft statutes and the proposed amendments shall be posted on the Chamber's website.
Art. 21 (1) The General Assembly/General Meeting of Representatives is statutorily constituted, at the first convocation, if at least half plus one of the members with voting rights are present and shall be chaired by the President of the Chamber or by a member of the Board of Directors designated by him/her.
(2) The period for reconvening is 7 days for the Ordinary General Assembly and 3 days for the Extraordinary General Assembly and the means provided for in Article 20(3) shall be used.
At the second convocation the General Assembly is legally constituted regardless of the number of participants.
Art. 22 (1) The voting procedure in the General Assembly shall comply with the condition of a majority vote of the members or representatives with voting rights present, by secret ballot when it concerns the election of persons and by open ballot in other cases.
In case of a tie, the vote of the President of the Chamber shall prevail.
(2) Before the opening of the works of the General Assembly of the Chamber, the number of the contributing members present according to the nominal list shall be verified, and the result of the verification shall be reported to the General Assembly.
Voting members may appoint by written mandate another voting member to represent them if they are absent for a reason and give 3 days' notice of their absence.
Art.23 Powers of the General Assembly/General Assembly of Representatives:
- Debates issues of general and current interest concerning the development of trade, industry, agriculture, services, the promotion of the market economy, the encouragement of free initiative; adopts resolutions and resolutions reflecting the position of the members of the Chamber on the issues debated and containing conclusions and proposals for appropriate measures;
- Sets the general objectives of the Chamber's future work;
- Approves the Statute and its amendments;
- Debates and approves the activity report of the Governing Board, the audit report of the Committee of Auditors on the work carried out between sessions of the General Assemblies and the discharge;
- Approves the revenue and expenditure budget and the Chamber's balance sheet;
- Elects and dismisses, by secret ballot, the members of the Governing Board, the President and the Committee of Censors;
The term of office of the Governing Board, the President and the Committee of Auditors is four years and is renewable.
The President is elected from among the members of the Governing Board.
- Orders the dissolution of the Governing Board in the following cases:
- when it is less than half plus one of the elected members;
- for fraudulent mismanagement, which will be established on the basis of a report drawn up by the Board of Auditors or following the final result of a control action of the legally authorized bodies;
In the event of the dissolution of the Governing Board, the General Assembly shall constitute an interim Board consisting of 7 members elected from among the members of the General Assembly and an interim President elected from among the members of the interim Governing Board. By the dissolution decision itself, the General Assembly shall determine the rights and obligations of the Interim Governing Board and the Interim President.
The General Assembly will elect the Governing Board and the President within two months.
In the event of dissolution for fraudulent mismanagement, the Committee of Auditors will also determine the amount of damages and the persons from whom they will be recovered.
- It organizes the Chamber's sections in accordance with the law before the elections;
- Approves the Rules of Organization and Functioning of the Chamber and its sections;
- It sets the level of the allowances of the President, Vice-Presidents and members of the Governing Board for their participation in the work of the Governing Board;
- It fixes the allowances of the members of the Committee of Auditors;
- Approves the level of membership fees
- It deliberates and decides on all matters within its competence.
Art. 24 The provisions of these Statutes relating to the convening and conduct of the General Assembly/General Assembly of Representatives shall also apply accordingly to General Assemblies/General Assemblies of Representatives by section.
